Advise the Board of Directors, Management Board, and Head of Departments on statutory requirements and relevant rules and regulations issued by the relevant authorities;
Maintain statutory records of the Company that comply with statutory requirements;
Attend to the necessary to assist the Management Board in their compliance of the relevant statutory requirements;
Prepare and/or review Board of Directors and General Shareholders Meeting's meeting minutes and resolutions of the Company;
Attend Board of Directors, Inspection Committee and General Shareholders Meeting's meetings of the Company;
Draft contractual documents for the subsidiaries, associates and other divisions of the Company;
Vet contractual documents drafted by the departments and associates for legal compliance and commercial implications;
Liaise with external law firms and vet documentation prepared by them, for complicated matters;
Handle all claims of the group and depending on the complexity of such matters, liaise with the external lawyers and all relevant parties to ensure that the claims are resolved to the best possible advantage of the group;
Advise on any legal or contractual matters which may arise;
To ensure compliance of the Company with all statutory requirements and guidelines issued by relevant authorities governing public listed Company;
Advise and inform the Management Board of any changes in any statutory positions and compliance thereof;
Interpret, translate legal documents/contracts/regulations of Vietnamese law relating to the Company’s operation;
To draft and review contracts and documents relating to the sales and lease of the Company’s projects, such as agreements, sale and purchase contracts, long-term lease reservation contracts, long-term lease contracts, minutes of contract liquidation, etc;
To draft and review documents relating to hand-over procedures for the Company’s projects, such as apartment/house hand-over notices, apartment/house hand-over minutes, etc;
To draft and review the internal rules of apartment building/apartment complex/townhouse area/urban area/social housing of the Company’s projects;
To review contracts for the management and operation of apartment building/apartment complex/townhouse area/urban area, social housing, as well as service contracts with other vendors;
To advise the Credit Administration/Sales Support to answer customers' questions and complaints relating to sales docs;
To comply and adhere to all matters pertaining to Quality, Safety, Health, Environment related to the job scope and work place as required by the Company;
Any other duties that may be assigned from time to time by Head of Legal and the Management Board;
